Adopt a board or DAO resolution by written consent

Instead of a meeting, the members approve a written resolution with their wallets. It is adopted as soon as the quorum you set is reached.

The situation

  • A DAO’s council approving next year’s budget.
  • The managers of an LLC approving a new treasury signer or a grant programme.
  • The board of an ecosystem company approving a partnership, with directors in several time zones.

Who signs and when it is done

Who signs

The members entitled to approve

Board members, managers or council members — each from the account recorded for it. The organiser enters the entity, the members and the quorum (how many approvals are needed).

Done when

Adopted

When the number of approvals you set (for example, 3 of 5) is recorded on the ledger.

How it works

1 · Check the rules

Your bylaws, operating agreement or DAO charter must allow written consent in this form. A model provision is in the app.

2 · Prepare

Enter the entity, the members and their accounts, and the quorum. Load the final PDF of the resolution and create the link.

3 · Approve

Each member opens the link, checks the PDF and approves with its HSuite Wallet.

4 · File

The verification shows the count and the quorum. Keep the signed PDF with the entity’s minutes and records.

What you get

  • One signed PDF. The document followed by a resolution certificate, with a QR code that opens the verification.
  • The evidence inside it. The original document and the evidence file are attached to the signed PDF, so it verifies on its own.
  • Verification without us. Anyone drops the signed PDF on the Verify page, or scans the code: the browser re-reads the public ledger and re-checks every signature. No account, no wallet, no server — and it keeps working even if this site disappears.

Limits

  • Valid only if your rules allow it. The entity’s law and governing documents must allow written consent in this form, and the quorum set in the app must be the right one.
  • Multisig accounts are not supported yet. Each member signs with a single-key account designated for it.
  • Not a qualified electronic signature. Not eIDAS-qualified, not ICP-Brasil, not notarised or registered. Documents that the law requires in a special form may not be signable this way.
  • A signature proves the key, not the person. It shows that the designated account signed. Identity and authority to sign are checked by the parties, through channels they trust.
  • Keys are the signer’s responsibility. A lost key cannot be recovered by us, and a signature made with a compromised key may be attributed to its owner.
  • Public and permanent. Names, the title and the PDF fingerprint are visible on the ledger forever. Use a neutral title if needed; the PDF itself is never recorded.
  • Check the governing law. Legal effect depends on the law and on what the signers agreed. This version works with HSuite Wallet and single-key accounts.

Rehearse it on testnet first

Testnet records have no legal value, which makes them the right place for a dry run with the other signers.
